Welcome to Digital Rugby! These Client Onboarding Terms (“Terms”) govern the onboarding process for clients (“Client”) engaging with Digital Rugby, a brand operated by 1 Point 3 Creative Ltd (“Provider”), with an operational address at 24 Regent Place, Rugby, CV21 2PN, United Kingdom.

By accepting a Quotation or Client Order, the Client agrees to these Terms. These Terms are applicable as of the date of the Quotation or Client Order.

1. Purpose

The onboarding process ensures that the Client’s needs are clearly understood and that all necessary resources, information, and agreements are in place to deliver the agreed-upon services efficiently and effectively.

2. Onboarding Steps

2.1 Initial Consultation:

  • The Provider will conduct an initial consultation to discuss the Client’s objectives, scope of work, and requirements.

2.2 Information Gathering:

  • The Client will provide necessary documentation, content, and access credentials required for service delivery, including but not limited to:
    • Branding materials (e.g., logos, fonts, style guides).
    • Website hosting and domain details.
    • Any third-party integrations (e.g., APIs, plugins).

2.3 Proposal and Agreement:

  • The Provider will present a detailed proposal outlining the scope of services, timelines, and fees.
  • Acceptance of the Quotation or Client Order will incorporate these Terms and associated agreements (e.g., Service Agreement, Intellectual Property Rights Agreement).

2.4 Kickoff Meeting:

  • The Provider will schedule a kickoff meeting to finalize the project timeline, milestones, and communication protocols.

3. Client Responsibilities

3.1 The Client agrees to:

  • Provide all requested materials, information, and access within the agreed timeline.
  • Assign a primary point of contact for communication and decision-making.
  • Respond to queries and provide approvals promptly to avoid delays.

3.2 The Client acknowledges that:

  • Delays in providing necessary materials or approvals may impact project timelines and result in additional fees as outlined in the applicable agreements.

4. Provider Responsibilities

4.1 The Provider will:

  • Use reasonable efforts to ensure a smooth onboarding process.
  • Provide clear communication and updates throughout the onboarding process.
  • Maintain the confidentiality of all Client-provided information in compliance with applicable data protection laws.

5. Fees and Payment

5.1 Fees associated with the onboarding process:

  • Are included in the initial service agreement unless otherwise specified.

5.2 Additional services requested during onboarding:

  • Will be billed separately, subject to prior approval from the Client.

6. Confidentiality

6.1 Both Parties agree to:

  • Maintain the confidentiality of any proprietary or sensitive information disclosed during the onboarding process.

6.2 Confidentiality obligations are governed by:

  • The Mutual Non-Disclosure Agreement (NDA) referenced in the Quotation or Client Order.

7. Termination of Onboarding Process

7.1 Either Party may terminate the onboarding process with written notice if:

  • The other Party fails to fulfill its obligations under these Terms and does not remedy the breach within 14 days of notice.
  • External factors prevent the successful completion of the onboarding process.

7.2 Upon termination:

  • The Client must pay for all work completed up to the termination date.
  • The Provider will return or securely dispose of all Client-provided materials, as instructed by the Client.

8. Limitation of Liability

8.1 The Provider’s liability:

  • For any claims arising from the onboarding process is limited to the fees paid by the Client for onboarding-related services.

8.2 The Provider is not liable for:

  • Delays caused by the Client’s failure to meet its responsibilities or external factors beyond the Provider’s control.

9. Governing Law and Jurisdiction

9.1 These Terms are governed by and construed in accordance with:

  • The laws of England and Wales.

9.2 Disputes arising from these Terms:

  • Will be subject to the exclusive jurisdiction of the courts of England and Wales.
